BG Acquisitions is actively seeking investment opportunities in established operating healthcare businesses.
• Stage: We look to acquire growth oriented operating businesses with at least 4 years of operating history.
• States: We will invest in any geographic area in the continental USA.
• Sector: We will evaluate any industry and sector.
• Size: We are targeting businesses from $2MM – $6MM in EBITDA with definable growth opportunities.
• Structure: We look to invest alongside management teams partnering with them for the companies next stage of growth.
Privately owned businesses in the $1-250M annual earnings range.
Critical mass against an achievable rate of business integration.
Equity from acquired businesses to redeploy into larger deals.
Profit margins 15% with no recent bankruptcies, lawsuits, liens and expired licenses.
We are using commercial debt to finance the majority portion of these acquisitions as we are able to get favorable terms that will allow for growth, expansion and lower interest rates.
We will use either private equity, Bridge loans, Mezzanine Financing to close equity gaps, they are short term and provide favorable terms.
We require a minimum of 20% seller’s equity to serve as a (liability clause)
Anything extra could serve as a retirement plan & security earn out.
Operational and management expertise to maintain quality assurance and improve KPI and KPA through proper governance and structure.
Effective systems and management for financial control, sales management.
Existing management and know-how of the company for standard operating procedures.
And assist acquired businesses to penetrate new markets and broaden their customer base.
Via (IPO) or strategic sale based on market conditions in the next 5-7 years.
